Clause 4Obligations of the Receiving Party

The receiving party shall keep the disclosing party's Confidential Information confidential and shall apply at least the same degree of care that it applies to its own confidential information of a similar kind, and in no event less than a reasonable degree of care.

Clause 6Disclosure Required by Law

A receiving party may disclose Confidential Information to the extent required by law, by a court of competent jurisdiction or by a regulator of competent authority.

Clause 7Term

This Agreement commences on the date of last signature and shall continue for two years. The obligations of confidentiality in clauses 4 and 5 shall survive for a further three years after termination or expiry of this Agreement.

Clause 12Governing Law

This Agreement and any dispute arising out of it are governed by and construed in accordance with the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.

What it does not do

  • It does not read PDFs. v1 takes pasted text or a plain-text file. Copy the text out of your PDF and paste it in.
  • It does not interpret your document. Matching is done on wording, so a clause it marks present can still be the wrong clause for your deal.
  • It does not sync. Reviews live in this browser's storage; clearing site data removes them, and another device will not see them.
